Course Descriptions:
HISTORY/PRESENT/FUTURE OF LEGAL PROFESSION: The facilitators of this session will lead the group in identifying
and discussing the sea of changes in the size, shape and
globalization experienced by the legal profession since 1992.
They will also discuss current trends and forecast the state of the
profession and the law in 20 years.
FINANCIAL REGULATION: We have witnessed turmoil in the banking world in the past couple years. The speakers will discuss those changes and how they came to be. In addition, they will contrast the current banking situation with the banking system as we knew it 20 years ago and, based on the history and current trends, they will predict what we might expect twenty years in the future.
LITIGATION FUNDING/JACKSON REFORM: This presentation will cover the history of litigation funding over the last 20 years, culminating with the final Jackson report on litigation costs, changing insurance coverage and the increase in funding options. The speakers will discuss what they see as the short-term significance and trends and will predict what they anticipate in the long haul – say in the next 20 years.
DEMYSTIFYING BUSINESS DEVELOPMENT – The Elephant in the Room or in Your Mind: The speaker will cover current trends in the profession and the shifting balance of power; the importance of business development and role of partners/associates/ managers as Ambassadors of the Firm; common obstacles to action; reasons for apathy and fear of rejection amongst professionals and how to overcome these obstacles; successfully moving out of one’s “comfort zone;” the true meaning of “cross selling” both between practice groups, offices and with clients; the power of relationships and the importance of deepening client relationships; what clients, general counsel, CEO’s and CFO’s really want; What makes up the service element; keys to successful demystification and empowerment; and a brief look 20 years back, the present and 20 years forward.
ELIMINATION OF BIAS IN THE LEGAL PROFESSION: Unconscious Gender Bias – How to Spot It and Stop it. In gender bias the real culprit isn't the blatant actions that are easily
identified and corrected. It is rather the subtle omissions or exclusions
from decision making positions or opportunities to pitch business or
gain influence in the firm that are restriciting advancement of women
in the legal profession. The speaker will identify forms of unconscious
gender bias and offer training in ways to correct these situations and
stop unintended gender bias in the legal profession.
SPORTS DISCIPLINARY AND OLYMPICS LAW: With the Olympics coming to London, seems fitting to include a session on Olympics law and sports disciplinary law.
SUBSTANCE ABUSE IN LEGAL PROFESSION Lessons from the Legal,
Medical and Financial Sectors: “What the legal, medical and financial services sectors can learn from each other about alcohol and drug misuse” is the focus of this session. The moderator will begin with an introduction to the topic, focusing on the professional environment and covering evidence of alcohol related harm in each of the three environments. For instance the handling of client money, financial crime and medical malpractice are alcohol related sources of problems in each of the legal, financial and medical sectors. Mr. Tilby of LawCare, the charity which specializes in helping lawyers with substance problems, will cover the evidence based approach to discovery, diagnosis, treatment and prevention of alcohol and drug abuse in the legal profession and will describe the resources allocated within the legal profession to help addicted professionals. Dr. Wilkes will cover discovery, diagnosis, treatment and prevention in the medical sector. The moderator and Dr. Ryan will discuss application to the financial services sector. These speakers will participate along with the moderator in extended discussion with the audience, making this an interactive session.
LEGAL ETHICS & PROFESSIONALISM The presenters have taken a serious look at legal ethics over the past twenty years, focusing on changes between the ethical world then and now. Topics to be covered include:
1. Identify Your Client(s): To whom do you owe professional obligations? How to avoid accidental client-lawyer relationships.
2. Clarifying Your Fee:
3. Attending to Fiduciary Duty: Lawyers assume five fiduciary duties (the 5 C’s) when an actual or implied client-lawyer relationship is established. The 5 C’s are: Control, Communication, Competence, Confidentiality, Conflicts of Interest.
4. Observe the Limits of the Law: Neither client nor lawyer may violate the limits or bounds of the law and remain responsible for the consequences of illegal conduct.
5. The Emerging Scope and Organization Law Practice.
CLE and CPD Credits:

EU COMPETITION LAW UPDATE This session will include a round-up of EU competition and business law issues to watch in 2011, including: (1) Horizontal Cooperation Agreements and the unlawful exchange of information and cartel concerns; (2) Fining policy in EU competition law, including the growing trend of inability to pay arguments; (3) The future of private enforcement of competition laws; (4) State aid and the financial crisis, including a review of exit strategies/the impact of the withdrawal of state aid; (5) The State of Play of the EU Digital Agenda.
UK BRIBERY ACT 2010 - WHAT IT MEANS TO YOU: This panel will discuss the possible impact on business of the Bribery Act 2010 which will come into force in April 2011. Topics covered include: The offence of bribery of foreign public officials; Exercise of prosecutorial discretion in relation to the offence of bribery of a foreign public official given the offence does not require any intention to bribe; Strict liability offence of failure of commercial organisation to prevent bribery; Factors which determine whether a person is or is not associated with a commercial organisation; How a commercial organisation can determine what policies, procedures, monitoring and auditing to put in place in order to have adequate procedures; Can a commercial organisation ever be certain it has adequate procedures in place; How significant does a commercial organisation’s business activities have to be in the UK for the UK authorities to decide they have jurisdiction over the commercial organisation and can a commercial organisation carry on business via a separately incorporated company; Exclusion from public sector contracts; Conviction of which offenses result in exclusion from public sector contracts and, if excluded, for how long; Plea bargains; How will enforcement authorities deal with a commercial organisation that wants to “cut a deal” given the recent decisions of the judiciary.
BUSINESS ETHICS: DO INVESTORS CARE? The speaker will focus on anticorruption but will also lead a discussion of other relevant social, ethical, environmental and governance issues and more.
SHAREHOLDER DISPUTES This presentation looks at the options for a shareholder who has complaints about the way a company’s affairs are being conducted, focusing on the UK position but also touching on the international context for such disputes in other common law and European jurisdictions. It will also include a brief look at how shareholder class actions can (or cannot) be brought in the UK and in major European jurisdictions, and how the position differs from the U.S.
RIGHTS OF THE SUSPECT This session will focus on how to deal with the authorities when an individual or corporation is the target of a law enforcement investigation, including: when to self-disclose; when to co-operate and how far to go; legal professional privilege, whether to waive or assert it; and interviews, whether to be silent or answer question, or prepare a statement.
CONTRACTS LAW REFRESHER Speakers will discuss recent cases concerning damages and, in particular, the Transfield Shipping Inc. v. Mercantor Shipping Inc. case, and will deal with how improbable an event can be yet still be probable enough to pass the test of the balance of probabilities. This session will also include a review of the state of play on misrepresentation and reliance following the BSkyB/EDS and MGB Printing/Kall Kwik decisions.
LEGAL WRITING IN THE AGE OF THE SMARTPHONE Thanks to computers and smart phones, business and legal writing have changed more rapidly in the last decade than at any time in the last four centuries. This workshop will focus on the ways in which lawyers’ traditional training in writing and communication ill-prepares them for the new age.
In an era in which everyone reads less linearly – and with far less intensity and focus – lawyers must learn both new ways of organizing their written pros and editing it. This course will focus on writing more effective emails and memos both within the office and for clients, as well as the ways in which this “new style” will affect litigation writing and even contract writing.
BIAS: PARENTAL RIGHTS AS RELATED TO PRACTICING LAWYERS The speaker in this one-hour session will provide a general description of the Scandinavian model of legal requirements and market practice concerning absence in connection with pregnancy and childbirth, including rule and market practice regarding salary during the absence and the employer’s right to reimbursement from the applicable maternity scheme and municipalities. The presentation will include a discussion of the impact of this model on retention and promotion in a law firm setting and a comparison with parental rights in the U.S. and other countries.
LEGAL ETHICS AND PROFESSIONALISM: In 2009, the American Bar Association (“ABA”) established a “Commission on Ethics 20/20” to review and recommend reform regarding the ABA’s model ethics rules and the U.S. system of law regulation as they relate to advances in technology and global legal practice. Among the subjects now under study are (1) the regulatory restrictions on the ability of foreign lawyers to serve clients in the U.S. and on the ability of U.S. lawyers to serve clients abroad; (2) choice of law and conflict of interest rules as they relate to multijurisdictional practice; and (3) the international outsourcing of legal work. This program will explore these and other regulatory and professional problems arising out of global law practice and provide an update on the Commission’s work. This 2-hour interactive program is designed to meet the Ethics and Professionalism requirements of CA, IL, NY, OH and all other U.S. MCLE jurisdictions

INTERNATIONAL INSOLVENCY: Discussion of current regulations, both US and European, and their impact on international bankruptcy proceedings.
STRATEGIES TO PROTECT AND ENFORCE YOUR PATENTS
INTERNATIONALLY:
Complexities and complications continue to be challenges in the
global landscape for the patentability of inventions, the
prosecution of patent applications, the enforcement of patents,
and defending against allegations of patent infringement. This
session will focus on practical strategies which can be relied
on to seek to maximize value and effectively manage down cost
and risk. ARTS AND THE LAW: Speaker will give an overview of laws relevant to ownership of the arts, including a comparison of the laws of several countries and a practical discussion of the implications of those laws in owning, loaning and displaying pieces of art.
OUTSOURCING LEGAL SERVICES: Discussion of history, current trends, legal implications and future outlook for outsourcing legal services in the current economic climate.
U.N. BUSINESS AND HUMAN RIGHTS MANDATE: This session will provide an overview of the work of the Special Representative of the Secretary General on Business and Human Rights, with a particular focus on the “Responsible Contracting” Project which is being conducted as part of the Mandate. This Project considers whether and how human rights standards are relevant to international investment contracts, including in relation to stabilization clauses.
CAN NATIONAL COURTS PROSECUTE GRAND CORRUPTION? The Case for an International Approach: This speaker will discuss the difficulty of bringing grand corruption cases before national courts. Using recent examples she will explain possible solutions, including the case for an international tribunal, the push for an international court to deal with environmental disputes, and the recent use of the Alien Torts Act in the U.S.
SUBSTANCE ABUSE IN THE LEGAL PROFESSION: Jonathan Goodliffe will begin the session with an introduction to the topic followed by an account of a real life experience in substance abuse and a discussion of the cultural differences between the UK and US legal professions. The audience will then join the faculty in identifying key issues and analyzing some prepared case studies. This 2 hour session will meet the Substance Abuse approval criteria for CA and OH and the Professionalism approval criteria for IL and NY.
BIAS: How Good is Your Cultural GPS? A guide for lawyers. This presentation will explore how lawyers should adjust their behavior to take into account the expectations and perceptions of those from other cultures to ensure that a competent service is provided to clients and other lawyers thus eliminating cultural bias in the legal profession. This 1 hour session will meet the Elimination of Bias approval criteria for CA and MN and the Professionalism criteria for IL and NY.
LEGAL ETHICS AND PROFESSIONALISM: This 3-hour interactive program, which is designed to meet the Ethics and Professionalism requirements of CA, IL, NY, OH and all other US MCLE jurisdictions, will cover the following three topics:
Recent Trends on Conflicts of Interest: This session will discuss current law and latest trends on conflicts of interest between current clients, conflicts between current and former clients and conflicts involving third parties and the lawyer’s own interests. It will also focus on current standards for vicarious disqualification including recent changes to the ABA Model Rules permitting screening for lateral attorneys and the use of advance conflict waivers.
Current Trends and Ethical Implications in Multi-Jurisdictional Practice and Outsourcing of Legal Services: An increasing number of jurisdictions in the U.S. are permitting cross-boarder practice by lawyers who are licensed to practice in another state or country and are recognizing the ethical propriety of outsourcing legal services. At the same time, states are actively policing unauthorized practice restrictions and expect to step up UPL enforcement activity in the coming year. This session surveys current law on what is and what is not permitted and discusses where lines may be drawn.
Avoiding Ethical Pitfalls in Electronic Discovery: The exponential growth in electronic stored information (ESI) and the escalating costs of e-discovery have lead to recent changes in the law that impose greater duties and increase liability risks for lawyers. This session focuses on the continually evolving ethical issues, including waiver of confidentiality and sanctions and the current degree of competence expected of lawyers searching and producing ESI.

CURRENT REGULATORY ISSUES IN THE FINANCIAL SERVICES INDUSTRY: Discussion of current developments in law related to financial services in the UK as well as the banking crisis with an emphasis on the recent Icelandic situation.
DISPUTE RESOLUTION IN EMERGING MARKETS: Discussion of current best practice in resolving disputes in emerging markets, including China, India and Russia.
10 VAT ISSUES YOU SHOULD NEVER MISS: Speaker will give an overview of mistakes frequently made in dealing with VAT.
UK/US EXTRADITION - A SPECIAL RELATIONSHIP: Developments and case law in UK/US extradition under the Extradition Act 2003 including: reciprocity; the 2003 treaty; corporate fraud and price fixing; forum; human rights; abuse of process.
REACH IMPLEMENTATION: NO DATA, NO MARKET: After a short introduction to REACH (an acronym for Registration, Evaluation, Authorization and Restriction of Chemicals) the presenter will highlight the various strategic aspects of REACH.
INTERNATIONAL TRIBUNALS: The session will consider the role and track record of international tribunals, including issues relating to human rights, due process and international participation. Speakers will also discuss the role of the victim and alternate post conflict mechanisms, such as the truth and reconciliation commissions, and issues related to a competent and independent international criminal judiciary.
LEGAL ETHICS & PROFESSIONALISM: Whose rules apply? Professional practice in cross border transactions and in-house privilege. Presenters will lead a discussion of two hypotheticals: (a) Settlement negotiations; and (b) Bits from a transaction. This will be a 3-hour interactive program designed to meet the Ethics and Professionalism requirements of CA, NY and all other US MCLE jurisdictions.
BIAS IN THE LEGAL PROFESSION: Lesbian, gay and bisexual inclusion in the legal workplace: issues, challenges and progress.This 1-hour program will meet the Elimination of Bias approval criteria for CA and MN.
NOTE: There is no Substance Abuse session included in this year’s program.

COMPETITION LAW - PRIVATE ENFORCEMENT: This session provides an overview of what is the hot topic of European competition law at the moment. The session will provide an overview of the current status of private enforcement of competition law in Europe; the European Commission's green paper; and the issues which are currently being considered by the Courts and by policy makers including class actions and contingency fees, damages measures, court procedures, forum shopping and indirect purchaser actions.
CLASH OF THE TITANS: This pesentation will deal with the clash between US rules under Sarbane-Oxley requiring corporate anonymous whistleblowing hotlines and data protection and labor law rules in EU Member States restricting anonymous whistleblowing and protecting personal data, as well as the differing approaches taken among EU Member States themselves.
DOING BUSINESS IN CHINA: Discussion of legal and ethical challenges to doing business in China;
THE CHALLENGE TO BUSINESS CREATED BY CONTROLS OVER MONEY LAUNDERIING AND TERRORIST FINANCING: The session is a high level review of the controls (many of which have an international reach) that have been put in place to control money laundering and the financing of terrorism. ETHICS ISSUES IN TRANSNATIONAL PRACTICE: This 3-hour interactive program is designed to meet the Ethics and Professionalism requirements in numerous states. Topics to be covered include conflicts, imputation, and the choice of disciplinary law, with attention to international arbitration. The speakers will also cover the application of GATS and of different rules of professional conduct on attorneys with a global practice..
PRACTICAL WISDON FOR LAWYERS: This session will provide an introduction to the practice of meditation. The presenters have been running courses for groups of lawyers in Lincoln's Inn and will present some of the insights which have arisen from this activity, as well as providing an overview of the practice itself. This 1-hour program is designed to meet the Substance Abuse requirements of CA and OH and to provide credit in others states as well.
ELIMINATION OF BIAS IN THE LEGAL PROFESSION: Equal opportunities is no longer just about gender or racial discrimination. Discrimination laws have expanded to encompass disability, age, sexual orientation, religion and belief, thereby increasing the level of regulation on all employers, including those in professional services. This session considers the impact on law firms of the various limbs of discrimination law and looks at the lessons that could be learned from what has happened in other white collar environments. This 1-hour program will meet the Elimination of Bias approval criteria for CA and MN.
